Terms and Conditions

1. Our Services

ABR Hosting LTD is a company registered in the United Kingdom, and these Legal Terms are governed by the laws of the United Kingdom (see 'Governing Law' below). We sell the Services to customers worldwide. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws, to the extent local laws are applicable and not superseded by the mandatory consumer protections described in the 'Governing Law' section below.

The Services are general-purpose infrastructure hosting (dedicated servers, virtual private servers, shared hosting, and game servers) and are not tailored to any regulated industry's specific compliance regime (for example, healthcare or financial-services data-handling requirements). If your intended use would require the Services to meet such a regime, please contact us before purchasing so we can confirm whether we can support it.

Sanctions and export compliance. Because we sell internationally, our ability to serve you is subject to applicable UK, EU, and US trade sanctions and export control laws. By using the Services, you represent that you are not located in, incorporated in, or ordinarily resident in any country or region subject to comprehensive UK, EU, or US trade sanctions, and that neither you nor, to your knowledge, any person with a controlling interest in your organisation is listed on any UK, EU, or US restricted-party or sanctions list. We may suspend or terminate the Services immediately and without liability if we reasonably believe this representation is untrue, or if providing the Services to you would otherwise breach applicable sanctions or export control law.

2. Related Policies and Order of Precedence

These Legal Terms are supplemented by our Privacy Policy, Fair Use Policy, Service Level Agreement, and Cookie Policy (together, the 'Related Policies'), each of which is incorporated into these Legal Terms by reference. Together, these documents form the entire agreement between you and us regarding the Services.

If there is a direct conflict between these Legal Terms and a Related Policy on a matter that Related Policy specifically addresses, the Related Policy governs on that matter (for example, the Service Level Agreement governs uptime commitments and service credits; the Fair Use Policy governs acceptable use of network resources). On all other matters, these Legal Terms govern.

3. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) in the United Kingdom and around the world.

The Content and Marks are provided in or through the Services 'AS IS' for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the 'Prohibited Activities' section below, we grant you a non-exclusive, non-transferable, revocable licence to: access the Services; and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your content and data

This section applies to anything you or your users store, install, or run on a dedicated server, VPS, shared hosting account, or game server you purchase from us — including websites, application code, databases, game worlds and save files, backups, and any other files on your server (collectively, 'Your Content'). Your Content is, and remains, entirely your property. We claim no ownership interest in, and no licence to use, copy, sell, or distribute, Your Content. Our only rights in relation to Your Content are those strictly necessary to provide, secure, back up, and support the Services (for example, our support team may need to access your server to diagnose a fault you have reported, or our automated systems may scan for malware or abuse as described in our Fair Use Policy). We will not access Your Content beyond what is necessary for these purposes, and we will not disclose Your Content to third parties except as required by law or as set out in our Privacy Policy.

This 'Your content and data' section does not apply to Submissions or Contributions (defined below), which are content you send directly to us — for example, support tickets, reviews, or feedback — rather than content you host on your server.

Your submissions

Please review this section and the 'Prohibited Activities' section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services (as distinct from Your Content, described above).

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ('Submissions'), you agree that we may use such Submissions to operate, support, and improve the Services, without acknowledgment or compensation to you. This does not affect your ownership of Your Content as described above.

You are responsible for what you post or upload: By sending us Submissions through any part of the Services you confirm that you have read and agree with our 'Prohibited Activities' and will not post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading.

4. User Representations and Eligibility

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (5) you will not use the Services for any illegal or unauthorised purpose; and (6) your use of the Services will not violate any applicable law or regulation.

Age requirement. The person who registers the account and places the order (the 'account holder') must be at least 18 years old. This is a single, fixed requirement that applies to every account holder worldwide, regardless of the age of majority or contractual capacity recognised in your own country (which in some places is lower, and in a few places higher, than 18). A parent or legal guardian may register an account and permit a minor (for example, a child using a family Minecraft server) to use the Services under that account. In that case, the parent or guardian remains the account holder for all purposes under these Legal Terms — including billing, compliance with our Fair Use Policy, and responsibility for the minor's conduct on the Services — regardless of who operationally uses the server day to day. See our Privacy Policy for how we handle information relating to minors using an account in this way.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

5. User Registration

You may be required to register with the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We may remove, reclaim, or ask you to change a username if we reasonably determine it is inappropriate, obscene, infringes a third party's rights, or is otherwise likely to mislead other users.

6. Purchases and Payment

We accept the following forms of payment: Stripe and PayPal.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Displayed prices exclude tax unless stated otherwise. Any VAT, GST, sales tax, or equivalent applicable to your order is calculated automatically at checkout based on your billing location and any tax information you provide (such as a VAT or tax registration number), in accordance with the tax rules configured in our billing system and the tax law applicable to you — for example, a UK VAT rate for UK customers, a destination-based EU VAT rate for EU consumers, the reverse-charge mechanism for VAT-registered EU business customers who provide a valid registration number, or no tax charged where none is due in your location. All payments are accepted in GBP, EUR, or USD; where a price is shown to you in a currency other than GBP, it is an estimate based on the exchange rate at the time of display and may vary slightly from the amount actually charged.

We reserve the right to correct any errors or mistakes in displayed pricing, even if we have already requested or received payment for an order affected by the error; where this happens, we will contact you before charging any corrected amount and you may cancel the order at no cost if you do not wish to proceed at the corrected price.

We may decline or cancel an order where we reasonably suspect fraud, a payment cannot be verified, the order breaches these Legal Terms or our Fair Use Policy, or the order appears to be an attempt to circumvent per-account or per-service limits (for example, by using multiple accounts, payment methods, or billing addresses to obtain the same promotional offer more than once).

7. Subscriptions

Recurring Billing Disclosure

Before you complete an order, the checkout will show you: the service and plan you are buying; the amount that will be charged today; the amount and frequency of each recurring renewal charge; and how to cancel. By completing the order, you consent to us charging your payment method on that recurring basis, without requiring your separate approval for each individual renewal charge, until you cancel.

Billing and Renewal

Your subscription will continue and automatically renew unless cancelled. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Cancellation

You can cancel your subscription at any time by logging into your account — cancellation takes no more steps than subscribing did. Your cancellation will take effect at the end of the current paid term, and we will not charge you again after that. If you have any questions or are unsatisfied with our Services, please email us at support@abrhosting.com and we will assist with cancellation directly.

Fee Changes

We may change subscription fees from time to time. For existing subscriptions, we will give you at least 30 days' notice by email before a price change takes effect on your next renewal. If you do not wish to accept the new price, you may cancel your subscription before it renews at no additional cost.

Refund Policy

We offer every customer, in every country, the same 14-day refund window from the date of purchase of a new subscription, covering the initial term only (not renewal charges) — this meets or exceeds the statutory minimum cancellation period in the jurisdictions we sell into (for example, the UK's Consumer Contracts Regulations 2013 and the equivalent EU Consumer Rights Directive both set a 14-day minimum for consumers), and we apply it uniformly as a matter of policy rather than trying to determine which country's rules apply to a given order. If you are an individual consumer with a stronger statutory right under your local law, nothing in this section limits or removes that right; this 14-day window is a floor, not a ceiling.

Because our Services are typically provisioned and made available to you immediately, by placing an order you expressly request that we begin providing the Service straight away; if you cancel after we have begun, and before the 14-day period ends, we may deduct a proportionate amount reflecting the service already supplied, except where the law applicable to you does not permit this deduction. We may decline a refund request where we reasonably determine it is being used to abuse the offer — for example, an account holder repeatedly opening new accounts to claim it more than once — but this discretion does not affect a consumer's stronger statutory cancellation right where one applies.

8. Software

We may include software for use in connection with our Services. If such software is accompanied by an end user licence agreement ('EULA'), the terms of the EULA will govern your use of the software. If such software is not accompanied by a EULA, then we grant to you a non-exclusive, revocable, personal, and non-transferable licence to use such software solely in connection with our services and in accordance with these Legal Terms.

9. Prohibited Activities

Ordinary commercial and business use of the Services is expressly permitted and encouraged — this includes running a monetised game server community, hosting a client's website as a reseller, or running a commercial SaaS product on a VPS or dedicated server. The restrictions below are aimed at protecting the security, stability, and lawful operation of our network and other customers, not at restricting how you use your own server for legitimate business.

As a user of the Services, you agree not to:

  1. Systematically retrieve data or other content from the Services (as opposed to Your Content on your own server) to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  3. Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
  4. Use any information obtained from the Services to harass, abuse, or harm another person.
  5. Make improper use of our support services or submit false reports of abuse or misconduct.
  6. Use the Services in a manner inconsistent with any applicable laws or regulations, or in breach of our Fair Use Policy.
  7. Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
  8. Engage in automated abuse of the platform's own management systems (as opposed to software you legitimately run on your own server), such as scripting attacks against our client portal, or using data mining, robots, or similar tools against our website or client area rather than your own hosted infrastructure.
  9. Delete the copyright or other proprietary rights notice from any Content that is ours (as opposed to Your Content).
  10. Attempt to impersonate another user or person, or use another user's account without authorisation.
  11. Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services, beyond your own allocated resources.
  12. Harass, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
  13. Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services, that you have not been authorised to access.
  14. Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services (as opposed to software you install on your own server, which is governed by that software's own licence).
  15. Resell or provide access to the Services to third parties as if it were your own independent hosting business, without a separate reseller agreement with us.
  16. Make any unauthorised use of the Services, including collecting usernames and/or email addresses of other users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences.

10. User Generated Contributions

The Services may invite you to participate in reviews, support forums, or similar functionality, and may provide you with the opportunity to create, submit, post, display, or transmit content and materials to us or on the Services, such as text, comments, suggestions, or other material (collectively, 'Contributions'). Contributions do not include Your Content as defined in the 'Intellectual Property Rights' section above — that is, anything you host, store, or run on your own server remains governed by that section, not this one.

Contributions may be viewable by other users of the Services and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that your Contributions comply with our guidelines and these Legal Terms.

11. Contribution Licence

By posting Contributions (as narrowly defined above — reviews, forum posts, or similar — and, again, never Your Content hosted on your own server) to any part of the Services, you grant us a non-exclusive, worldwide, royalty-free licence to host, use, reproduce, publish, and display such Contributions in connection with operating and promoting the Services (for example, displaying a testimonial you submitted). You may request that we remove a Contribution at any time by contacting us, and we will do so unless we have a legitimate reason to retain it (for example, an ongoing dispute).

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services.

12. Guidelines for Reviews

We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria: (1) you should have firsthand experience with the person/entity being reviewed; (2) your reviews should not contain offensive profanity, or abusive, racist, offensive, or hateful language; (3) your reviews should not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) your reviews should not contain references to illegal activity; (5) you should not be affiliated with competitors if posting negative reviews; (6) you should not make any conclusions as to the legality of conduct; (7) you may not post any false or misleading statements; and (8) you may not organise a campaign encouraging others to post reviews, whether positive or negative.

We may accept, reject, or remove reviews in our sole discretion. We have absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Reviews are not endorsed by us, and do not necessarily represent our opinions or the views of any of our affiliates or partners.

13. Social Media

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers, including Facebook Login (each such account, a 'Third-Party Account') by either: (1) providing your Third-Party Account login information through the Services; or (2) allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account. See our Privacy Policy for what information we receive when you use this feature.

You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account, without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account.

14. Third-Party Websites and Content

The Services may contain (or you may be sent via the Services) links to other websites ('Third-Party Websites') as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ('Third-Party Content').

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

15. Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms or our Fair Use Policy; (2) take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such user to law enforcement authorities where appropriate; (3) refuse, restrict access to, limit the availability of, or disable a Contribution (as defined above, and never Your Content) where we reasonably believe it breaches these Legal Terms; (4) remove or disable files and content — other than Your Content — that are excessive in size or are in any way burdensome to our systems, having first given you notice and a reasonable opportunity to remedy the issue where practical to do so; and (5) otherwise manage the Services in a manner designed to protect our rights and property, other customers, and the proper functioning of the Services.

16. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy at abrhosting.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Our Privacy Policy sets out the current list of countries in which the Services are hosted and the safeguards that apply to international transfers of your personal data; that list is kept in the Privacy Policy alone so it can be updated as our infrastructure changes without requiring you to re-read these Legal Terms.

17. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We may suspend or terminate your access to the Services (including blocking certain IP addresses) where you have breached these Legal Terms, our Fair Use Policy, or applicable law, where required to do so by law or a competent authority, or where continued provision of the Services would expose us or other customers to a genuine security or operational risk. Except where the breach or risk is serious enough to require immediate action, we will give you notice and a reasonable opportunity to remedy the issue first.

If we terminate or suspend your account for a breach of these Legal Terms, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party, for the purpose of continuing the conduct that led to the suspension or termination.

18. Modifications and Interruptions

We may change, modify, or remove the contents of the Services from time to time, and will give reasonable notice of any change that materially reduces the functionality you have paid for. We have no obligation to update every piece of information on our Services (for example, illustrative marketing copy), and we will not be liable to you or any third party for a modification made in accordance with this section.

We cannot guarantee the Services will be available at all times; our specific uptime commitments and service credits for unplanned downtime are set out in our Service Level Agreement, which governs on that subject in preference to this general statement. We may need to perform scheduled maintenance from time to time, which we will endeavour to schedule during low-usage periods as described in the Service Level Agreement.

19. Governing Law

These Legal Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Subject to the 'Dispute Resolution' section below, ABR Hosting LTD and you irrevocably agree that the courts of the United Kingdom shall have jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

If you are an individual consumer resident outside the United Kingdom — including in Scotland or Northern Ireland, elsewhere in the EU, or anywhere else — and the law of the country where you are resident gives you mandatory consumer protections that cannot be taken away by contract (for example, a right to bring certain claims in your home courts, or minimum consumer-rights standards under your local law), nothing in this section removes those protections. Where such mandatory local law applies to you, it applies in addition to, and where they conflict, in priority over, this section, and you may bring proceedings to enforce those specific rights in your local courts. For every other purpose not covered by such mandatory local protections, UK law and UK courts govern as set out above.

20. Dispute Resolution

If a dispute arises between you and us relating to these Legal Terms, we encourage you to first contact us at support@abrhosting.com so we can try to resolve it informally — most issues can be sorted out this way faster and more cheaply than through formal proceedings. If we can't resolve it informally, either party may bring proceedings in the courts of the United Kingdom as described in 'Governing Law' above. We do not require you to submit to binding arbitration, and nothing in these Legal Terms restricts your right, as a consumer, to bring a claim in the small claims court or any other court of competent jurisdiction.

21. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We may correct any such errors, inaccuracies, or omissions and update the information on the Services at any time.

22. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS, SUBJECT TO OUR SERVICE LEVEL AGREEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE THIS WOULD BE UNLAWFUL. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Nothing in this section, or in these Legal Terms generally, excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by the Consumer Rights Act 2015 as to title; or (d) any other liability which cannot lawfully be excluded or limited. If you are a consumer, nothing in these Legal Terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 in relation to services performed with reasonable care and skill.

23. Limitations of Liability

Subject to the 'Disclaimer' section above (which is not overridden by anything below), and subject to our Service Level Agreement's separate service-credit regime for unplanned downtime, our liability to you for any cause arising from or in connection with these Legal Terms, whether in contract, tort (including negligence), or otherwise, is limited as follows: we will not be liable for any indirect or consequential loss; and our total liability for any single incident, or series of connected incidents, will not exceed the greater of £250 or the total fees you paid us for the affected service in the 12 months before the incident arose. If you are a business customer, you accept that this limit is reasonable given the price of the Services relative to the potential scale of loss, and that you are able to obtain your own insurance if you require greater protection.

24. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) your use of the Services in breach of these Legal Terms or our Fair Use Policy; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; or (5) your violation of the rights of a third party, including intellectual property rights. This section does not apply where the loss, damage, liability, claim, or demand arises from our own breach of these Legal Terms or our negligence.

25. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. We perform routine backups of platform-level data, and — where included in your plan — of Your Content, but you remain responsible for maintaining your own independent backups of anything you cannot afford to lose, as described in our Service Level Agreement. We will not be liable for loss or corruption of data except to the extent it results from our failure to perform the backup service actually included in your plan, or from our negligence or breach of these Legal Terms.

26. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

27. Miscellaneous

These Legal Terms, together with the Related Policies described in Section 2 above, constitute the entire agreement and understanding between you and us regarding the Services. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to another company, for example as part of a merger, acquisition, or sale of assets, provided this does not reduce the protections available to you under these Legal Terms. We will not be responsible or liable for any failure to perform caused by circumstances genuinely beyond our reasonable control.

If any provision or part of a provision of these Legal Terms is found to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.

28. Contact Us
